Rights assigned
① The Assignor assigns to the Assignee the following rights on the NFT:
Ownership of the NFT, including all rights of reproduction, distribution, public communication, modification and creation of derivative works of the NFT.
The right to commercially exploit the NFT, including the right to sell, lease, license, or otherwise transfer the rights to the NFT to third parties.
The right to collect any royalties, profits or other payments arising from the operation of the NFT.
② Sale price
The Assignee undertakes to pay the Assignor the agreed sum of the price displayed in return for the assignment of the rights to the NFT. Payment will be made as follows: ETH Payment
③ Warranties
The Assignor represents and warrants that it is the sole owner of the NFT and that it has all the rights necessary to assign the rights to the NFT in accordance with the terms of this Agreement. The Assignor also warrants that the NFT is free from any lien, encumbrance or claim of third parties.
④ Transfer of ownership
The Assignor agrees to perform all necessary steps to transfer ownership of the NFT to the Assignee, including all required actions on the relevant blockchain.
⑤ Privacy
The parties agree to maintain the confidentiality of all confidential information disclosed under this Agreement, except where such disclosure is required by law.
⑥ Applicable law and competent jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the country or state France, Paris, applicable. Any dispute arising out of this Agreement shall be subject to the exclusive jurisdiction of the competent courts of the country or state France, Paris.
⑦ Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the assignment of rights to the NFT and supersedes all prior agreements, written or oral, relating to this subject matter.
By buying th NFT, the parties acknowledge having read, understood and accepted the terms and conditions of this NFT Rights Assignment Agreement.
